Enrollment Agreement
These terms of use constitute a legal agreement between you and Songu, LLC ("SongU.com"), a Tennessee limited liability company. Please read this agreement ("Agreement") in its entirety before you become a member of this website. This Agreement governs your use of SongU.com's course material and website (the "Course Material"). By becoming a member of SongU.com, you agree to be bound by the terms and conditions of this Agreement.
Copyright
All content included on this site, including, but not limited to graphics, logos, button icons, images, audio clips, video clips, multimedia files, is the property of SongU.com or its respective parties and is protected by United States and international copyright laws. Therefore, you must treat the Course Material and the material on this site like other copyrighted material (e.g. a book or musical recording). All Course Material is strictly for your personal use and you are not allowed to share with others your password or the Course Material.
Trademarks
SongU.com and other marks indicated on our site are registered trademarks of SongU, LLC, in the United States and other countries. SongU.com trademarks may not be used in connection with any product or service that is not SongU.com in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits SongU.com. All other trademarks not owned by SongU that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by SongU.
Term of Agreement
The term of this Agreement (the "Term") will commence once you click on the "I ACCEPT" button and pay the applicable membership fee described below which will entitle you to a recurring membership, unless otherwise indicated, commencing upon verification of your credit card information. In consideration for receiving the benefits and services of SongU.com, you will pay to us the amount set forth on the SongU.com registration page prior to the commencement of membership. By providing your credit card billing information, you are authorizing us to charge the membership fee to your designated credit card on a recurring basis. Regardless of the method of payment, we will not be required to address any billing problems or discrepancies unless you advise us of such billing problems or discrepancies within ninety (90) days after they appear on any such statement or bill. Your credit card issuer agreement governs the use of your designated credit card in connection with us, and you must refer to that agreement and not this Agreement to determine your rights and liabilities as a cardholder.
License and Site Access
SongU.com grants you a limited license to access and make personal use of this site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of SongU.com. This license does not include any resale or commercial use of this site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. This site or any portion of this site may not be modified, adapted, translated, reverse engineered, de-compiled, disassembled, reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any purpose without express written consent of SongU.com. You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of SongU.com and our affiliates without express written consent. You may not use meta tags or any other "hidden text" utilizing the SongU.com name, logo or trademarks without the express written consent of SongU.com. Any unauthorized use terminates the permission or license granted by SongU.com and your right to SongU.com membership terminates immediately and your password will be deactivated. No refund of membership fees will be made in any such case. SongU.com may terminate your access to the Service and SongU.com's website in its absolute discretion and for any reason without notice.
Community Standards
You agree to adhere to the Community Standards established by SongU.com. However, SongU.com does not control the submissions made by our users. SongU.com does not guarantee the accuracy, integrity or quality of these submissions. SongU.com cannot and will not be held liable in any way for any submissions, or for any harm that results from these submissions. Disclaimer of Warranties and Limitation of Liability
The information, content, material, products and services on this website are provided "as is," and "as available" with no warranties whatsoever. Under no circumstances shall SongU.com be liable for any incidental, special or consequential damages that might result from the use or inability to use this site, the course material contained within, or any related documentation. SongU.com provides educational and instructional materials for its membership, but makes no guarantee and takes no responsibility for any member's success or failure in directly or indirectly applying the knowledge gained from any Course Material or any other content found on or linked to or from SongU.com's website. Discussion Board, Student Profile and Other Content
If you voluntarily choose to submit personal information including photos to the SongU.com website in the form of a "personal profile" SongU.com has the right to display the information on its website in a manner deemed appropriate by SongU.com. By sending any information or material directly to SongU.com or through this website, you agree to accept sole responsibility for its content as well as the consequences of the information or material. This means you, and not SongU.com, are entirely responsible for all information and material that you submit to SongU.com. For more information see our Privacy Policy. By submitting information and materials to SongU.com, you agree to indemnify SongU.com for any claims, demands, damages, costs and liability resulting from your submission. Further, you represent and warrant that you have the right to post this information. You also represent and warrant that your information is accurate and will not cause harm to another individual and that you will indemnify SongU.com or its affiliates for any and all claims resulting from content you supply. SongU.com has the right but not the obligation to monitor and edit or remove any content. SongU.com takes no responsibility and assumes no liability for any content posted by you or any third party.
Copyright Complaints
SongU.com respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact us or complete a support request.
Applicable Law
The laws of the State of Tennessee shall govern this Agreement. If for any reason a court of competent jurisdiction finds any provision of the Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of the Agreement shall continue in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action first arose or be forever barred.
Termination
You agree that SongU.com, in its sole discretion, may terminate your account (or any part thereof) or use of this service, and remove and discard any content within this service, if SongU.com believes that you have violated the TOS or including, without limitation, for lack of use or for any other reason SongU.com deems appropriate. SongU.com may also in its sole discretion and at any time discontinue providing the service, or any part thereof, with or without notice. You agree that any termination of your access to the service under any provision of this TOS may be effected without prior notice, and acknowledge and agree that SongU.com may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the service. Further, you agree that SongU.com shall not be liable to you or any third-party for any termination of your access to the service. Notwithstanding the foregoing, in the event SongU.com terminates its service due to insolvency, SongU.com will issue refunds to only those who joined during the three months (90) days prior to termination of service.
Recurring Billing Policy
SongU.com uses a recurring billing system whereby your membership will automatically continue until you notify us of cancellation. You may cancel your membership at anytime by completing the support form within the site or by contacting our offices in writing or by phone. Allow at least (2) business days for processing. Please note that any unused portion of your membership (including unused SongU.com credits) is forfeited and is not refundable.

Use, duplication, or disclosure by the Government is subject to restrictions as set forth in Subdivision (b)(3)(ii) of The Rights in Technical Data and Computer Software clause.
